looks like the mere pentium 805 d dual core cpu has gotten good reviews for normal usage and overclocking. So i decided i want to build a pc with this bad boy in it.
i will be using everything from my old pc except for
the mobo and cpu, so that means my crucial pc 3200 ram im using and my 6600gt agp card as well.
everything will be free to me if i keep a pretty low budget.
whats your thoughts on Via or Sis motherboards?

So long as it is ok for playing games on it and its an upgrade from my barton xp 2500+ cpu

Looks like a pretty good budget board that will allow you to achieve what you want - a gradual upgrade of your system on a budget.
Being a budget board, it's not that great for overclocking but I have seen claims of people achieving 3.3GHz on the 805D using this board so not too bad. You would probably see a marginal improvement over your existing CPU at stock anyway (especially when multitasking) so I would say go for it.
